These Terms of Use (the “Terms”) govern your access to and use of the Cater Directly website, applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Our Services
Cater Directly is a marketplace that connects event organizers with independent third‑party vendors, including caterers, venues, staffing providers, and party rental companies. We do not provide these services ourselves and are not a party to any contract between users and vendors. We may facilitate communication, proposals, and payments between parties.
3. Accounts and Eligibility
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You agree to provide accurate, current, and complete information and to keep it up to date.
4. Marketplace Rules
- Users must communicate honestly and in good faith; misrepresentation is prohibited.
- Bookings, proposals, and deliverables are managed directly between you and the vendor.
- Users agree to comply with all applicable laws, permits, and venue rules.
- Reviews must be fair and based on first‑hand experience; abusive or fraudulent reviews are not allowed.
5. Payments, Fees, and Refunds
Payments processed through the Service may be handled by third‑party payment providers (e.g., Stripe). By making or receiving payments, you agree to the applicable processor’s terms. Service fees or platform fees may apply and will be disclosed before checkout. Any taxes are your responsibility unless otherwise stated.
6. Cancellations and Changes
Cancellation, change, and refund policies are set by each vendor and will be shown prior to booking where available. Users are responsible for reviewing these policies. Cater Directly may, but is not obligated to, assist in resolving disputes; however, the final decision rests with the contracting parties and applicable law.
7. Prohibited Conduct
- Interfering with the Service or attempting to access it using methods not provided by us.
- Posting unlawful, harmful, or infringing content.
- Scraping, data mining, or using automated means without our prior written consent.
- Attempting to circumvent fees or conduct transactions off‑platform to avoid platform rules.
8. Vendor Obligations
- Vendors must provide services safely, professionally, and as described in their proposals.
- Vendors are solely responsible for required licenses, permits, insurance, and tax obligations.
- Vendors must comply with all health, safety, and food handling regulations where applicable.
9. Intellectual Property
The Service and its content, features, and functionality are owned by or licensed to Cater Directly and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service unless you have our written permission.
10. Disclaimers
The Service is provided on an “as is” and “as available” basis. Cater Directly disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. Vendors are independent parties; we do not control or guarantee their services.
11. Limitation of Liability
To the fullest extent permitted by law, Cater Directly and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.
12. Indemnification
You agree to defend, indemnify, and hold harmless Cater Directly and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your use of the Service or your violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in California to resolve any dispute arising from these Terms or the Service.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Changes take effect upon posting unless otherwise stated. Your continued use of the Service constitutes acceptance of the revised Terms.
